VENDOR AGREEMENT

BETWEEN:

1. LOTOFJEWELRY LIMITED, a company registered in Hong Kong (CR No. 78809321-000-09-25-8), with its registered office at RM 5058, 5/F Yau Lee Centre, 45 Hoi Yuen Rd, Kwun Tong, Hong Kong (hereinafter referred to as the “Company” or “Marketplace”).

1. SCOPE OF AGREEMENT
The Company grants the Vendor a non-exclusive, revocable right to list and sell jewelry and gemstones on the website www.lotofjewelry.com subject to the terms herein.

2. VENDOR OBLIGATIONS & COMPLIANCE

2.1. Authenticity & Certification

  • The Vendor guarantees that all diamonds and gemstones are natural and authentic.
  • The Vendor must retain and provide upon request all original certificates (e.g., GIA, AGS, HRD) and invoices indicating the country of mining.
  • WDC System of Warranties: For all polished diamonds, the Vendor must include the mandatory WDC wording on invoices warranting that the diamonds have been purchased from legitimate sources.

2.2. Listing Requirements

  • The Vendor agrees to ensure all product listings comply with WCAG 2.1 AA accessibility standards, including proper contrast and alt text for images.
  • The Vendor shall not use phrases such as “All sales are final” in listings, as distance-selling regulations apply.

3. FINANCIAL TERMS (COMMISSIONS & PAYOUTS)

3.1. Commission Fee The Company shall retain a commission fees in accordance with the Fee Schedule applicable to the Vendor’s account level. Current commission rates and fees are available in the Vendor Portal and are accepted by the Vendor upon listing an item

3.2. Payout Schedule Funds will be released to the Vendor [INSERT NUMBER] days after the tracking status confirms delivery to the customer, provided no return request has been initiated.

3.3. Taxes The Vendor is solely responsible for calculating and remitting any applicable VAT, GST, or sales taxes related to their sales.

4. SHIPPING AND FULFILLMENT

4.1. Logistics Where available, the Vendor must use the prepaid, fully insured shipping labels provided by the Company.

4.2. Delivery Responsibility The Vendor is responsible for the safe packaging of items. Any damage due to poor packaging prior to handover to the carrier is the Vendor’s liability.

5. RETURNS AND REFUNDS

The Vendor agrees to adhere to the Marketplace’s International Return & Exchange Policy:

5.1. Return Period Customers have the right to return eligible items within 30 calendar days from the date of receipt.

5.2. Refund Deductions

  • Missing Certificates: If a customer returns an item without the original GIA/gemological certificate, a replacement fee of USD 250 (or equivalent) will be deducted from the refund amount.
  • Restoration Fee: If an engraved item is returned, a service fee of USD 30 / EUR 25 / AED 110 will be deducted for re-polishing.

5.3. RMA Process All returns must be processed using a valid Return Merchandise Authorization (RMA) number generated by the Marketplace.

6. DATA PRIVACY
The parties agree to process personal data in accordance with the Data Sharing Addendum and applicable laws (GDPR). The Vendor shall strictly use customer data solely for order fulfillment and strictly prohibits using such data for external marketing without consent.

7. GOVERNING LAW
This Agreement shall be governed by the laws of Hong Kong.
